The agreement between you and Keystone Systems LLC governing your use of INSPEKTiT and every other Keystone product.
By creating an Inspekt Account or accessing any product or service operated by Keystone Systems LLC ("Company," "we," "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use any Keystone Systems product or service.
These Terms apply to all users who access or use the platform through an Inspekt Account, including independent insurance adjusters ("Adjusters"), independent adjusting firms ("Firms"), and insurance carriers ("Carriers"). Additional product-specific terms are set forth in the Product Terms sections below. In the event of a conflict between these general Terms and any product-specific terms, the product-specific terms shall control.
"Inspekt Account" means the unified account created by a user to access any or all Keystone Systems products. One account provides access to INSPEKTiT and InspektiV based on the user's role and subscriptions.
"INSPEKTiT" means the mobile field inspection and documentation platform for independent insurance adjusters.
"InspektiV" means the adjuster discovery marketplace connecting adjusting firms with licensed independent insurance adjusters through NIPR-verified credential profiles.
"Claim Data" means policyholder names, property addresses, claim numbers, inspection photographs, field notes, measurements, annotations, damage descriptions, and any other data entered by a user in connection with an insurance claim.
"Roster Data" means adjuster personal information, license data, certifications, deployment history, and performance metrics maintained within the platform by a Firm.
"NIPR Data" means adjuster license information obtained through the National Insurance Producer Registry Producer Database (NIPR PDB) API, including license status, states of licensure, and National Producer Number (NPN).
To use any Keystone Systems product, you must create an Inspekt Account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
Account Types. During registration, you will identify your role as an Adjuster, Firm, or Carrier. Your role determines which products are available to you and the terms that apply. Misrepresenting your role is a violation of these Terms and grounds for immediate account termination.
One Account Per Person or Entity. Each individual or legal entity may maintain only one Inspekt Account. Creating multiple accounts to circumvent usage limits, pricing structures, or suspension is prohibited.
Keystone Systems LLC reserves the right to suspend or terminate any account that violates these Terms, engages in fraudulent or misleading activity, or poses a security risk to the platform or other users.
Accurate Information. You are solely responsible for the accuracy, completeness, and legality of all information you enter into any Keystone Systems product. This includes account registration data, claim documentation, roster information, and professional credentials.
Professional Standards. You agree to use the platform in accordance with applicable professional standards, state regulations, carrier guidelines, and industry best practices for property insurance inspections and claims handling.
Licensing Compliance. If you are an Adjuster, you represent and warrant that you hold all required licenses, certifications, and authorizations necessary to perform insurance adjusting work in the jurisdictions where you operate. If you are a Firm, you represent and warrant that your business is properly registered and authorized to operate as an independent adjusting firm.
Lawful Use. You agree to use Keystone Systems products only for lawful purposes and in compliance with all applicable federal, state, and local laws and regulations.
You agree not to:
The following terms apply specifically to users of INSPEKTiT, the field inspection and documentation platform.
INSPEKTiT is a mobile field documentation tool that enables independent insurance adjusters to document property inspections through photographs, field notes, structured reports, and general loss reports (GLRs). The platform provides guided inspection workflows, photo labeling, and report generation tools.
INSPEKTiT is a documentation tool. It does not adjust claims, make coverage determinations, negotiate settlements, or provide legal or insurance advice. All professional judgments, coverage decisions, and claim recommendations remain the sole responsibility of the Adjuster and the parties to the claim.
Per-File Pricing. INSPEKTiT is priced on a per-file basis. Each inspection file submitted through INSPEKTiT is charged a per-file fee at the applicable rate. Fees are charged at the time of file submission.
Pricing Tiers. INSPEKTiT is offered at two per-file rates depending on the deliverables included in each inspection file:
The applicable rate is determined at the time of file submission based on the deliverables present in the file. The user is informed of the applicable rate prior to submission.
Complimentary Files. Each Firm account receives five (5) lifetime complimentary inspection files at no charge. The complimentary allotment is applied automatically to the first five qualifying files submitted by the Firm and does not renew on any cadence (monthly, annual, or otherwise). After the complimentary allotment is exhausted, all subsequent files are billed at the applicable per-file rate stated above.
Custom Pricing. Custom pricing is available for firms with specialized deployment needs, high-volume operations, multi-state footprints, or carrier-direct integration requirements (contact sales@keystonestack.com). Pricing is subject to change; current terms are confirmed at onboarding.
Add-On Services. The following optional add-on services are available as separate subscriptions at rates quoted by the Company: (a) INSPEKTstudio (per-carrier configuration module); (b) INSPEKTaps (Adjuster Performance Score module). Contact sales@keystonestack.com for current pricing. Add-on subscriptions are billed monthly and auto-renew unless cancelled at least 30 days before the next billing date.
Payment Processing. Payment processing for INSPEKTiT fees is handled as described in Section 8 (Payment Terms).
Ownership. Inspection documentation created through INSPEKTiT (photos, notes, reports) is owned by the Adjuster or the Firm/Carrier on whose behalf the inspection was conducted, as determined by the contractual relationship between those parties. Keystone Systems LLC does not claim ownership of your inspection data.
Firm Access. If your account is linked to a Firm's account, your inspection data for assignments dispatched through that Firm will be visible to authorized users within the Firm's account. This mirrors the existing industry workflow where adjusters submit documentation to their firm.
No AI Training. Keystone Systems LLC does not use your claim data, photographs, or inspection reports to train AI models, develop products for third parties, or for any purpose other than providing the platform's services to you.
You represent and warrant that all photographs and media uploaded to INSPEKTiT are captured by you or with your authorization in the course of legitimate inspection work. You confirm that you have obtained any necessary access permissions from property owners or their representatives. Photographs may contain embedded GPS coordinates and timestamps if device permissions allow.
INSPEKTiT may generate formatted inspection reports from your documentation. These reports are tools to assist your work — they do not constitute professional opinions, coverage recommendations, or claim determinations by Keystone Systems LLC. You are responsible for reviewing all generated reports for accuracy and completeness before submitting them to any party.
INSPEKTiT is a documentation and workflow tool. All damage assessments, property condition evaluations, scope-of-loss determinations, and professional judgments made during the course of an inspection are made solely by the user (the Adjuster or other licensed professional) and not by Keystone Systems LLC or any of its products. Keystone Systems LLC does not perform inspections, assess damage, determine coverage, recommend repair scopes, estimate costs, or make any representations regarding the condition of any property.
The user acknowledges and agrees that: (a) the user is solely responsible for how they use the platform to conduct inspections and document findings; (b) Keystone Systems LLC has no control over the manner, method, or quality of inspections performed by users; (c) any damage assessment, finding, or conclusion documented through the platform reflects the professional judgment of the user, not Keystone Systems LLC; and (d) Keystone Systems LLC shall not be liable for any claim, loss, or damage arising from the user's inspection work, damage assessments, or professional opinions, regardless of whether such work was documented through the platform.
INSPEKTiT may offer offline functionality that allows you to capture and store inspection data locally on your device when an internet connection is unavailable. Data captured offline will synchronize with the platform when connectivity is restored. Keystone Systems LLC is not responsible for data loss resulting from device failure, loss, or theft while data is stored locally and has not yet been synchronized.
INSPEKTiT is distributed in part through a native mobile application available on the Apple App Store and Google Play. The mobile application is a complementary field tool intended for licensed insurance professionals operating under an active Firm subscription; it is not a standalone consumer product and is not intended for general public use.
No In-App Purchases. The mobile application does not offer, process, facilitate, or expose any in-app purchases, subscriptions, consumable goods, digital content for sale, or other payment transactions of any kind. The mobile application contains no payment surface, no checkout flow, and no subscription-management interface. All billing for INSPEKTiT services occurs exclusively through the Firm's web account at inspektit.io via the Payment Processor described in Section 8 of these Terms. The mobile application is provided at no cost to download and use; the Firm's web-side account incurs the per-file charges described in Section 6.2.
Account Requirement. Use of the mobile application requires an active Inspekt Account associated with a Firm subscription on the web platform. The mobile application does not provide account creation, subscription management, billing controls, or any function that bypasses the web platform's account and billing surfaces.
Device Permissions. The mobile application requests access to specific device hardware and operating system features (camera, photo library, location services, and push notifications) solely for the purpose of capturing inspection documentation and delivering operational alerts. The user may grant, decline, or revoke each permission individually through the device's operating system settings at any time. Declining or revoking a permission may reduce the evidentiary value of inspection records or prevent the user from completing required workflow steps. The specific permissions requested, the purpose of each, and the user's controls are described in Section 9 of our Privacy Policy.
App Store Distribution. The mobile application is distributed by Keystone Systems LLC. End User License Agreement terms imposed by the Apple App Store or Google Play apply in addition to these Terms; in the event of a conflict between the platform store's standard EULA and these Terms with respect to the mobile application, the platform store's EULA controls only to the extent required by the platform store.
The following terms apply specifically to users of InspektiV, the adjuster discovery marketplace.
InspektiV is a two-sided marketplace connecting independent adjusting firms with licensed independent insurance adjusters. Adjusters create verified profiles that include professional credentials, license data, certifications, and geographic availability. Firms subscribe for access to search, filter, and connect with adjusters in the network.
InspektiV is a discovery platform, not a dispatch tool. InspektiV facilitates connections between Firms and Adjusters. It does not create employment relationships, assign claims, or guarantee work for Adjusters. All engagements between Firms and Adjusters are independent arrangements governed by their own terms.
Adjusters: Free. Creating and maintaining a verified profile on InspektiV is free for all licensed adjusters.
Firms: $999/year. Provides full access to the adjuster network, verified credential search and filtering, and credential monitoring. Billed annually in advance.
Auto-Renewal. Firm subscriptions auto-renew annually unless cancelled at least 30 days before the renewal date.
InspektiV verifies adjuster credentials through the National Insurance Producer Registry (NIPR) Producer Database (PDB) API. By creating an InspektiV profile, you consent to Keystone Systems LLC querying the NIPR PDB using your National Producer Number (NPN) to verify your license status, states of licensure, and license type. This verification occurs at profile creation and is refreshed periodically.
Accuracy of NPN. You are responsible for providing your correct NPN. Keystone Systems LLC is not responsible for verification failures resulting from an incorrect or outdated NPN.
NIPR Data Use. NIPR data retrieved through the PDB API is used solely to verify and display your credential status within InspektiV. This data is subject to NIPR's terms of use and is not sold, shared, or used for any purpose outside the platform.
You are responsible for the accuracy of all information in your InspektiV profile. You represent that your profile does not contain false, misleading, or outdated information regarding your licenses, certifications, experience, or availability. Keystone Systems LLC reserves the right to remove or flag profiles that contain inaccurate or unverifiable information.
InspektiV does not create an employment, agency, partnership, or joint venture relationship between Keystone Systems LLC and any Adjuster or Firm. Keystone Systems LLC does not control the terms, conditions, or manner of any engagement between Firms and Adjusters facilitated through InspektiV. All such arrangements are between the Firm and the Adjuster.
Payment Processor. All payments are processed through Stripe, Inc. By using any paid Keystone Systems product, you agree to Stripe's Terms of Service and authorize Keystone Systems LLC to charge your payment method on file for all applicable fees.
Taxes. All fees are exclusive of taxes. You are responsible for any applicable sales tax, use tax, or other taxes imposed by your jurisdiction.
Failed Payments. If a payment fails, Keystone Systems LLC will attempt to process the charge again. If payment cannot be collected after reasonable attempts, your access to the affected product may be suspended until the balance is resolved. Suspension does not relieve you of the obligation to pay outstanding fees.
Refunds. Per-file fees are non-refundable once a file has been submitted. Monthly and annual subscription fees (including add-on services) are non-refundable for the current billing period but will not renew upon cancellation. If you believe a charge is incorrect, contact support@keystonestack.com within 30 days of the charge.
Price Changes. Keystone Systems LLC reserves the right to change pricing with 30 days' written notice to affected users. Price changes will not apply to the current billing period.
This Section 9 states the general rules governing data you enter into the Platform. Ownership and access rules specific to claim and inspection data created through INSPEKTiT are addressed in Section 6.3 (Claim Data Ownership and Access); in the event of any conflict, Section 6.3 controls with respect to claim and inspection data.
Your Data Is Yours. Keystone Systems LLC does not claim ownership of any data you enter into the platform, including claim data, inspection documentation, roster data, or profile information. You retain all rights to your data.
License to Operate. By using the platform, you grant Keystone Systems LLC a limited, non-exclusive license to store, process, display, and transmit your data solely for the purpose of providing the platform's services to you. This license terminates when your account is closed and your data is deleted.
Data Export. You may export your data at any time through the platform's export features. Upon account termination, you will have 30 days to export your data before it is permanently deleted from our systems.
No Data Selling. Keystone Systems LLC does not sell user data to any third party. Not to carriers, not to firms, not to data brokers, not to anyone.
No AI Training. Keystone Systems LLC does not use your data to train artificial intelligence models, machine learning algorithms, or develop products for third parties.
The platform, including its design, code, features, report templates, inspection workflows, user interface, and documentation, is the property of Keystone Systems LLC and is protected by applicable intellectual property laws, including copyright, trademark, trade secret, and patent rights. Keystone Systems LLC has a provisional patent pending with the United States Patent and Trademark Office covering the inspection process through mobile application (Application No. 64/034,760).
Your inspection data remains yours — but the tools, templates, workflows, and interface used to create and organize it are ours. You may not copy, modify, distribute, or create derivative works based on any Keystone Systems product or its components without written authorization.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Keystone Systems LLC does not warrant that:
For the avoidance of doubt, any damage assessment, inspection finding, or professional opinion documented through the Platform reflects the judgment of the user and not of Keystone Systems LLC.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYSTONE SYSTEMS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, INCLUDING BUT NOT LIMITED TO DAMAGES ARISING FROM:
IN NO EVENT SHALL KEYSTONE SYSTEMS LLC'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO KEYSTONE SYSTEMS LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify, defend, and hold harmless Keystone Systems LLC, its officers, directors, members, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
By You. You may terminate your Inspekt Account and request deletion of your associated data at any time through any of the following methods. All three methods initiate the same deletion workflow and produce the same outcome:
Account deletion requests are processed within thirty (30) days of receipt. Active subscriptions must be cancelled according to their respective cancellation terms before account termination is finalized. Deletion of an Adjuster's Inspekt Account also revokes that Adjuster's access to any Firm or Carrier dashboards that depended on the deleted account; the underlying Firm and Carrier accounts are unaffected.
By Keystone Systems LLC. We may suspend or terminate your account immediately and without prior notice if you violate these Terms, engage in fraudulent activity, pose a security risk, or if we are required to do so by law. For non-urgent violations, we will provide 15 days' written notice and an opportunity to cure.
Effect of Termination. Upon termination, you will have 30 days to export your data. After the 30-day export period, Keystone Systems LLC will permanently delete your data, including claim data, inspection files, photographs, roster data, and profile information, except where retention is required by law. Termination does not relieve you of the obligation to pay any outstanding fees.
Survival. Sections 9 (Data Ownership and Portability), 10 (Intellectual Property), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (Indemnification), and 16 (Governing Law and Dispute Resolution) shall survive termination of these Terms.
Keystone Systems LLC reserves the right to modify these Terms at any time. Material changes will be communicated via email to the address associated with your Inspekt Account and/or through a notice within the platform at least 30 days before the changes take effect. Your continued use of any Keystone Systems product following the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use and terminate your account.
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or your use of any Keystone Systems product shall be resolved in the state or federal courts located in McLennan County, Texas. You consent to the personal jurisdiction and venue of such courts.
Entire Agreement. These Terms, together with the Privacy Policy and any applicable Firm Service Agreement, constitute the entire agreement between you and Keystone Systems LLC regarding your use of the platform.
Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Waiver. The failure of Keystone Systems LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment. You may not assign or transfer these Terms or your rights under them without the prior written consent of Keystone Systems LLC. Keystone Systems LLC may assign these Terms without restriction.
Force Majeure. Keystone Systems LLC shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, internet outages, or third-party service provider failures.
